These Terms and Conditions (the “Terms”) govern your access to and use of nanicosmetics.com (the “Site”) and your purchase or use of products and services offered through the Site (collectively, the “Services”). The Site and Services are operated by Luxe Cosmetics LLC dba Naní Cosmetics (“Naní Cosmetics,” “Naní,” “we,” “us,” or “our”).

By visiting the Site, creating an account, or purchasing a product, you agree to these Terms and to the policies incorporated into them, including our Privacy Policy, Shipping Policy, and Return and Refund Policy. If you do not agree, please do not use the Site or Services.

Eligibility

You must be at least the age of majority in your state of residence to make a purchase through the Site. If you allow a minor to use the Site, you are responsible for supervising that use.

You may use the Site and purchase our products only for lawful, personal purposes. You may not use the Services in violation of any applicable law or these Terms.

Online Store and Shopify

Our online store is hosted by Shopify, which provides the ecommerce platform that allows us to offer products and Services to you. Your use of certain Shopify features may also be subject to Shopify’s applicable terms and privacy notices.

Product Information

We make reasonable efforts to display product descriptions, ingredients, shades, packaging, availability, and pricing accurately. However:

  • Colors and shades may appear differently depending on your screen, lighting, skin tone, and application.
  • Product packaging, shades, ingredients, specifications, and availability may change when reasonably necessary.
  • Images are provided for illustration and may not perfectly represent the product you receive.
  • Individual experiences and cosmetic results may vary.

Please review the product page, ingredient list, package instructions, and warnings before using a product. If information on the Site conflicts with information printed on the product packaging, follow the product packaging and contact us with any questions.

We reserve the right to correct typographical errors, inaccuracies, or omissions and to update product information at any time. If a material error affects an order you have already placed, we may contact you, correct the order with your consent, or cancel and refund the affected item.

Cosmetic Use and Safety

Naní Cosmetics products are cosmetic products and are not intended to diagnose, treat, cure, or prevent any disease or medical condition. Information on the Site is provided for general product and educational purposes and is not medical advice.

Use products only as directed. Review the full ingredient list before use, particularly if you have allergies or sensitivities. Consider testing a small amount before broader use. Do not use a product if you know you are allergic or sensitive to any listed ingredient. Discontinue use if irritation or another adverse reaction occurs, and seek appropriate medical care when necessary.

Do not use products that appear damaged, contaminated, altered, or expired. Keep products out of reach of children unless the packaging states otherwise.

Orders and Acceptance

Submitting an order is an offer to purchase. An automated order confirmation acknowledges that we received the order but does not guarantee acceptance. We may accept, decline, limit, or cancel an order for legitimate reasons, including:

  • Product unavailability
  • Incorrect pricing or product information
  • Suspected fraud or unauthorized activity
  • Payment or address-verification problems
  • Violation of purchase limits or these Terms
  • Orders that appear intended for unauthorized resale

If we cancel an order after payment has been processed, we will refund the amount charged for the canceled portion to the original payment method.

Please review your shipping address and order details carefully before submitting an order. Contact us promptly if you notice an error. We cannot guarantee that an order can be changed or canceled after processing begins.

Prices, Payments, and Taxes

Prices are shown in U.S. dollars unless stated otherwise and may change without notice. The price charged will be the price displayed at checkout when your order is submitted, subject to correction of obvious errors.

Applicable taxes, shipping charges, discounts, and other charges will be displayed at checkout before you complete your purchase. You agree to provide current, complete, and accurate billing and payment information and represent that you are authorized to use the selected payment method.

Payment processing is handled by Shopify Payments or other third-party payment providers offered at checkout. We may use third-party services to screen transactions for fraud.

Promotions and Discount Codes

Promotions, giveaways, gifts with purchase, and discount codes may be subject to separate rules and eligibility requirements. Unless expressly stated otherwise:

  • Offers cannot be combined.
  • Codes have no cash value.
  • Discounts apply only during the stated promotional period.
  • Promotions are available while supplies last.
  • Discounts cannot be applied retroactively to completed purchases.
  • We may modify or end a promotion when permitted by law.

If promotional terms conflict with these Terms, the specific promotional terms control for that promotion.

Shipping and Delivery

We initially ship only to eligible addresses within the United States, as identified at checkout. Available methods, charges, and estimated delivery windows will be displayed during checkout or explained in our Shipping Policy.

Processing and delivery dates are estimates, not guarantees. Delays may occur because of carrier conditions, weather, holidays, incorrect addresses, high order volume, supply issues, or events outside our reasonable control.

Customers are responsible for providing a complete and accurate delivery address. Additional charges resulting from an incorrect address, refused delivery, or unclaimed package may be deducted from a refund where permitted by law.

Please review our separate Shipping Policy for current processing, tracking, delivery, lost-package, and damaged-package procedures. Nothing in these Terms limits rights you may have under applicable consumer-protection laws.

Returns and Refunds

Returns, exchanges, refunds, damaged-product claims, and order-cancellation requests are governed by our Return and Refund Policy in effect at the time of purchase. Certain cosmetics may be ineligible for return after opening or use for health and hygiene reasons, except where the product is defective, damaged, incorrect, or applicable law requires otherwise.

Please review the Return and Refund Policy before purchasing. These Terms do not restrict any nonwaivable rights or remedies available under applicable law.

Accounts

If you create an account, you are responsible for maintaining the confidentiality of your login credentials and for activity conducted through your account. You agree to provide accurate information and update it when necessary.

Notify us promptly if you believe your account has been accessed without authorization. We may suspend or terminate accounts that are fraudulent, abusive, unlawful, or used in violation of these Terms.

Reviews and Other User Content

If you submit a review, photograph, comment, testimonial, social-media tag, or other content to us (“User Content”), you represent that:

  • You own the content or have permission to submit it.
  • The content is accurate to the best of your knowledge.
  • The content does not violate another person’s privacy, publicity, copyright, trademark, or other rights.
  • The content is not unlawful, threatening, defamatory, deceptive, obscene, or malicious.
  • You have disclosed any material connection to Naní Cosmetics, including free products, payment, discounts, or other incentives.

You retain ownership of your User Content. By submitting User Content directly to the Site or to us for possible publication, you grant Naní Cosmetics a nonexclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, adapt, publish, display, distribute, and promote that content in connection with our business and marketing, subject to applicable law. If your image, name, likeness, or social-media content will be used in paid advertising or beyond the context in which you submitted it, we may request additional permission when appropriate.

We may moderate or remove User Content, but we are not obligated to do so. Reviews reflect the experiences and opinions of individual customers and do not guarantee that others will have the same results.

Intellectual Property

The Site and its contents—including the Naní Cosmetics name and logo, product names, packaging designs, photographs, graphics, text, videos, and website design—are owned by or licensed to Naní Cosmetics and are protected by intellectual-property laws.

We grant you a limited, revocable, nonexclusive, nontransferable license to access and use the Site for personal, noncommercial shopping purposes. You may not copy, reproduce, distribute, modify, publish, sell, exploit, scrape, or create derivative works from the Site or its contents without our prior written permission, except as allowed by law.

Prohibited Conduct

You may not:

  • Use the Site for unlawful, fraudulent, or abusive activity.
  • Interfere with the Site’s security, operation, or availability.
  • Introduce viruses, malicious code, or harmful technology.
  • Attempt to gain unauthorized access to the Site, accounts, or systems.
  • Scrape, harvest, or collect information through automated means without permission.
  • Impersonate another person or misrepresent your identity.
  • Submit false reviews, fraudulent claims, or unauthorized payment disputes.
  • Infringe intellectual-property, privacy, publicity, or other legal rights.
  • Purchase products for unauthorized commercial resale.
  • Use our products or content for illegal or unauthorized purposes.

We may restrict access, cancel orders, or take other appropriate action when we reasonably believe these Terms have been violated.

Third-Party Services and Links

The Site may contain links to or integrations with third-party services, including payment processors, shipping carriers, social-media platforms, review providers, and analytics services. Third parties operate under their own terms and privacy policies.

We are not responsible for third-party websites, products, services, content, availability, or practices. Accessing a third-party service is at your discretion, subject to any rights you may have under applicable law.

Website Availability

We may update, suspend, withdraw, or discontinue any part of the Site or Services at any time. We do not guarantee that the Site will always be uninterrupted, secure, or free of errors. We are not responsible for delays or failures caused by circumstances outside our reasonable control.

Disclaimer of Warranties

To the fullest extent permitted by law, the Site, its content, and the Services are provided on an “as is” and “as available” basis. Except for any express product warranty we provide and warranties that cannot legally be excluded, Naní Cosmetics disclaims all express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement.

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to you.

Limitation of Liability

To the fullest extent permitted by law, Luxe Cosmetics LLC dba Naní Cosmetics and its owners, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from or related to the Site, Services, products, or these Terms.

To the fullest extent permitted by law, our total liability for a claim relating to a purchased product or order will not exceed the amount you paid to Naní Cosmetics for the product or order giving rise to the claim.

These limitations do not apply to liability that cannot legally be limited or excluded, including rights provided by applicable product-liability or consumer-protection laws.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Luxe Cosmetics LLC dba Naní Cosmetics and its owners, employees, contractors, and affiliates from third-party claims, damages, liabilities, and reasonable costs arising from your unlawful use of the Site, your violation of these Terms, or your infringement of another person’s rights.

This section does not require you to indemnify us for our own unlawful, negligent, or wrongful conduct.

Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Site, you acknowledge that you have reviewed that policy.

Electronic Communications

When you place an order, create an account, or contact us electronically, you consent to receive transaction-related communications electronically, including order confirmations, receipts, shipping updates, security notices, and policy notices.

Marketing communications are optional. You may unsubscribe from marketing emails using the link in an email and may opt out of marketing text messages by replying STOP. Opting out of marketing will not prevent necessary order or service communications.

Changes to These Terms

We may update these Terms to reflect changes in our business, Services, or legal obligations. Updated Terms will be posted on this page with a revised effective date. Unless otherwise stated, changes apply prospectively when posted.

Your continued use of the Site after updated Terms take effect constitutes acceptance of those updated Terms. Changes will not retroactively alter material terms applicable to a completed purchase unless permitted by law and communicated to you.

Suspension and Termination

We may suspend or terminate your access to the Site if you materially violate these Terms, misuse the Services, engage in fraud, or threaten the security or rights of Naní Cosmetics or others. Provisions that by their nature should survive termination will remain effective, including intellectual-property, disclaimer, liability, indemnification, and dispute provisions.

Governing Law and Disputes

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Subject to any rights you have under applicable consumer law, disputes arising from these Terms, the Site, or the Services will be brought in the state or federal courts located in Los Angeles County, California, and each party consents to those courts’ jurisdiction.

Before filing a formal claim, we encourage you to contact us so we can try to resolve the matter informally. Nothing in this section prevents either party from bringing an eligible matter in small claims court or limits any nonwaivable consumer right.

General Terms

If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later. You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, reorganization, sale, or transfer of our business or assets.

These Terms and the policies incorporated into them constitute the entire agreement between you and Naní Cosmetics concerning the Site, Services, and purchases, except for any additional terms expressly presented for a particular promotion or service.
